Any have any experience with this? As of now the plan is to incorporate with a close friend being a majority holder. It cost $300 bucks from what I understand and as of right now its just to kind of give he and I a tax break, although we do plan to merge into a full-scale EMR Migrations consultancy in the near future.

You should consult a tax attorney. I dont know what tax break you are expecting but there are likely better vehicles to use to form your business. With two people a L.L.C. is usually more beneficial and easier to set up and run.

You don't need to use Legalzoom. You can get the forms you need to file from your state's secretary of state website and cut out the middle man. You will need some sort of articles of incorporation to define each of your roles.

If you did want to move forward, you'd want to go to a Tax Attorney and then a CPA. They will charge a consultation fee, but they will sit you down, listen to you and explain in terms you can understand what the best entity for your needs is.
Pay for their advice and learn from it.

I (briefly) thought of LegalZoom, but wasn't able to get any of my questions answered regarding recommendations for what type of incorporation, tax implications, etc. I ended up working with an attorney specializing in small business / professions. Cost about $800, but also included ALL the paperwork, advice regarding how to conduct the various required company functions, referral to a qualified tax specialist (who showed me how to save a bundle of money). IMHO, well worth the few extra $$, and ended up getting help on contracts, non-disclosure agreements, business plans, Federal EIN numbers, etc. The more than 3 hours of personal consultation was extremely valuable.

I had my accountant start up my corporation for me, I was a dba and was getting hammered in taxes especially the amt tax. I agree with everyone else on the starting a business with a friend, it is not a good idea.
