This Xcal2 (P/N SCT9400) has been taken out of its original box, but it has never been used before or even hooked up to a car, so you can be 100% confident that it is unlocked. It will come in its original package with the SCT setup CD, manual, and SCT decal as it would with the original packing. You should ask SCT to get the most definitive answer, but it is my understanding that the difference is as follows:

The Xcal3 loads faster, has a larger screen with better lighting, and can datalog for longer. At the same time, the Xcal2 has all of its bugs worked out and issues still pop up occasionally with the Xcal3. And the end of the day both will upload a custom tune to your car and handle enough datalogging for 99% of users.
